Giovanni has decades of experience in real estate, corporate and compliance.
In recent years, Giovanni has been involved in the development of commercial, residential, and industrial properties, complex joint ventures, and the acquisition and sale of significant portfolios of non-performing real estate loans, finance leases, corporate finance, and asset finance. He handles all matters of development, planning, construction, financing, insurance, environmental, leasing and administrative law.
Giovanni also has experience in complex corporate reorganizations and an extensive corporate and commercial background, with significant experience in international and domestic mergers and acquisitions, particularly in the automotive, chemical, pharmaceutical, and fintech industries.
Giovanni has extensive experience in advising management on compliance matters (Foreign Corrupt Practices Act, UK Bribery Act, Loi Sapin II, Decree 231/01), particularly in drafting compliance templates, conducting compliance audits, and advising on day-to-day compliance issues. His areas of expertise include risk assessment, drafting and monitoring of procedures and policies, codes of ethics and conduct, and disciplinary procedures, as well as compliance-related due diligence in M&A transactions. He works to minimize the risk of liability for companies in the event of crimes committed by managers and employees and to ensure ongoing compliance with applicable laws and regulations. He is also an expert in crisis management.
He writes and lectures regularly on real estate, commercial, corporate, and compliance law.
Giovanni was admitted to the Bar in Italy in 1983 and is a member of the New York Bar since 1990.
Prior to joining Ughi and Nunziante, Giovanni gained extensive experience in leading international law firms in Washington, Brussels, London and Milan.
