The financing is instrumental to the implementation of a significant master plan for the requalification of the thermal-baths business in Montecatini (Tuscany). The business plan contemplates a number of infrastructure projects aimed, among other things, at the enhancement and enlargement of the important real property complex owned by Terme di Montecatini S.p.A.

Ughi e Nunziante assists ISA shipyard in euro 57 million structured financing

Ughi e Nunziante partner Marcello Gioscia, senior associate Gianluigi Pugliese and associate Ginevra Orsini assisted International Shipyards Ancona (ISA) in a Euro 57 million medium term structured financing provided by a pool of banks and arranged by Unicredit Corporate Banking.

ISA specializes in the design, manufacturing and management of large yachts, and is 80% owned by Yachting Investors Group Ltd. (YIG), a private equity fund operating out of London and engaged in the pleasure craft industry.

In 2006 Ughi e Nunziante had assisted YIG in the takeover of ISA.

Ughi e Nunziante partner Roberto Leccese represented Fondo Mezzogiorno (Intesa Sanpaolo Group) in its 20% investment in Somacis.

The Somacis group is engaged in the manufacturing of printed cirquit boards and membrane keyboards, and had consolidated revenues of Euro 50 million in 2007.

Fondo Mezzogiorno, with committed capital of Euro 100 million, is managed by Sanpaolo Imi Investimenti per lo sviluppo SGR, a management company within the Merchant Banking Division of the Intesa Sanpaolo Group, and seeks investment opportunities in small and medium enterprises in the South of Italy with good know-how and growth potential. This is the tenth investment completed by Fondo Mezzogiorno, which was launched in 2003.

The Desmon group is engaged in the manufacturing of equipment for the industrial refrigeration of food, and had profits of Euro 25 million in 2007.

Ughi e Nunziante counsel to Unicredit Banca d’Impresa in euro 115 million factoring transaction

Ughi e Nunziante partner Giuseppe de Falco and associate Amanda Afan de Rivera assisted Unicredit Banca d’Impresa in a factoring transaction for an aggregate amount of Euro 115 million relating to the assignment by Credsec S.p.A. of certain receivables vis-à-vis social security authorities (Aziende Sanitarie Locali) of Lazio and Campania.

Together with Unicredit Banca d’Impresa and Unicredit Factoring (the latter in its capacity as factor), also Meliorbanca, Banca Monte dei Paschi di Siena and MPS Leasing & Factoring Banca per i Servizi Finanziari alle Imprese participated in the transaction, all in their capacity as lenders.

Ughi e Nunziante partner Giuseppe de Falco and associate Ginevra Orsini represented Unicredit Banca d’Impresa as mandated lead arranger of a bank syndicate, which included Barclays, Banca delle Marche and Banca Popolare di Lanciano e Sulmona, in the grant to Toto S.p.A. of financing for an aggregate amount of Euro 60 million.

The facility is meant to finance the design and construction work within the contract awarded to the Abruzzo based company for the development of the section between Sasso Marconi and Barberino di Mugello of the Milan-Naples Highway.

 

Ughi e Nunziante lender counsel in the euro 200 million financing to Piaggio Aero

Ughi e Nunziante partners Giuseppe de Falco and Giovanni Bocciardo represented Unicredit Banca d’Impresa, Calyon and Intesa Sanpaolo as mandated lead arranger and joint bookrunner in the grant to Piaggio Aero of financing for an aggregate amount of Euro 200 million.

The transaction, which is structured as multiple facilities, has the dual purpose of improving the financial position of Piaggio Aero and supporting investments planned by the company for the next three-year period.

 

Ughi e Nunziante issuer’s counsel in the initial public offering of D’Amico International Shipping

Ughi e Nunziante founder Gianni Nunziante and partner Giuseppe de Falco represented d’Amico International Shipping S.A., a Luxembourg company, in its initial combined primary and secondary public offering of ordinary shares and listing on the Italian stock exchange, STAR segment.
This was the first “European passport” listing in Italy of a non-Italian company not listed in its home country.
