Ughi e Nunziante assists PointPark Properties in the acquisition of five logistical complexes

Ughi e Nunziante has assisted PointPark Properties in the acquisition from LOGISTIS (a fund managed by AEW Europe) of five logistical complexes located in the municipalities of Fagnano Olona, Brignano Gera d’Adda and Castel San Giovanni.

PointPark Properties (P3) specializes in the acquisition, development and management of European logistics properties. The company, which is based in Prague, operates a pan-European platform of 59 warehouses located in 8 countries and owns various land banks with zoning for potential development.

Following a well-articulated share deal and asset deal operation, P3 purchased from LOGISTIS the assets located in the industrial and business heart of Italy, covering a surface area of 170,000 m2, thereby strengthening its presence in Italy.

Ughi e Nunziante assisted Point Park Properties with a team comprising partners Marcello Gioscia and Gianluigi Pugliese, as well as Benedetto Colosimo and Anna Vanni with respect to corporate, real estate and finance matters; Elena Magurano, Camilla Savarese and partner Antonello Lupo provided advice with respect to the fiscal aspects of the transaction.

Lupo, new partner at Ughi e Nunziante

In May 2014, Antonello Lupo became partner of the Rome office of Ughi e Nunziante.

A. Lupo specializes in tax law, tax planning, reorganizations and company mergers & acquisitions.

He previously worked at Portolano Cavallo Law Firm, and before then he collaborated with other top firms − both Italian and international ones − such as Gianni Origoni Grippo Cappelli & Partners, Macchi di Cellere e Gangemi and Norton Rose Fulbright.

He has carried out research at the International Bureau of Fiscal Documentation in Amsterdam and he has been a lecturer at the International Tax Academy.

He is the author of numerous articles on tax related matters, published both in national and international magazines; he was part of the scientific committee of the Rivista di Diritto Tributario from 1994 until 1996 and he contributed to the drafting of the volume “Tax systems of UK and Italy” (2001). He is a member of the executive committee and secretary of the Italian branch of the Society of Trust and Estate Practitioners.

Ughi e Nunziante counsel to EDF in the transfer of two PV systems in Sicily

Ughi e Nunziante assisted EDF EN EN Italia S.p.A. and its French parent company EDF EN SA, both of which are active in the renewable energy industry, in the transfer of two photovoltaic systems located in Priolo and Augusta in Sicily. The PV systems have a capacity of 13,5 MWp and 6,7 MWp respectively.

The team at Ughi e Nunziante which dealt with the transfer included partner Laurence Bulan, senior associate Luigi Cascone and junior associate Pietro Pastorello. The transfer also saw the involvement of senior associate Andrea Marega with regard to administrative issues.

Ughi e Nunziante with Intesa and BNL in their way out from Ariston Thermo

Roberto Leccese, partner at Ughi e Nunziante, assisted Intesa Sanpaolo S.p.A., IMI Investimenti S.p.A. (Intesa Sanpaolo Group) and BNL S.p.A. (BNP Paribas Group) in the transfer of their shares to the corporate capital of Ariston Thermo S.p.A. (previously Merloni Termosanitari).

Ariston Thermo, a long-established Italian company operating in the field of water and home heating, closed the year 2012 with a net profit of 50 million Euros and a revenue of 1.324 million.

The shares of the two bank Groups, equal to 18% of the capital, have been purchased by Ariston Thermo for a total of 104.7 million.

Ughi e Nunziante for the transfer of BBVA Renting and BBVA Autorenting to Leaseplan

Ughi e Nunziante, with Marcello GiosciaGianluigi PuglieseBenedetto Colosimo and Anna Vanni advised the Spanish banking group BBVA for the transfer of 100% of the corporate stock capital of two of its Italian subsidiaries, BBVA Renting S.p.A. and BBVA Autorenting S.p.A., which are the sixth player in the market of long term car renting.

The purchaser, Leaseplan Corporation N.V., was advised by Baker & McKenzie with its team composed of Francesco Pisciotta, Pietro de Libero, Chiara Marinozzi and Riccardo Pennisi.

 

Ughi is back at Ughi e Nunziante

Andrea Ughi left NCTM law firm and became an equity partner at Ughi e Nunziante.

After working for twenty years in some of the greatest foreign and Italian firms in Italy, he decided to accept the proposal of joining the firm founded in 1968 by his father, Giovanni Maria Ughi, who passed away last year, and Gianni Nunziante, who is still an Of Counsel to the firm.

Ughi e Nunziante advises Fondo Atlante Private Equity on Svas Biosana investment

Atlante Private Equity – Fondo di Private Equity, managed by IMI Fondi Chiusi SGR of Intesa Sanpaolo Group has acquired a minority stake in the share capital of Svas Biosana S.r.l., a Campania-based player owned by the Perillo family, active over the last 40 years in the medical device field and, through its subsidiary Industria Farmaceutica Galenica Senese S.r.l., in the production and marketing of injectable solutions. The Group has over 200 employees and a yearly turnover of about Euro 47 million.

The investment was carried out through a Euro 6 million share capital increase subscription.

The Rome office of Ughi e Nunziante gets stronger, with the entry of partner Laurence Bulan and senior associate Luigi Cascone, both of which are former members of the law firm Grimaldi e Associati.

Laurence Bulan, Avocat à la Cour, will be responsible for the French desk. Former head of the legal department of Veolia Water Solutions & Technologies in France, for over 14 years in Italy, Laurence mostly serves French clients in corporate operations and cross border litigation.

Luigi Cascone, for over 8 years at Grimaldi e Associati, is assistant professor of comparative business law at the Faculty of Law of the University LUISS – Guido Carli, and has extensive experience in the field of litigation, arbitration and contracts, both domestic and cross-border.

The opening of the French desk stands in the tradition of Ughi e Nunziante, which has always included foreign professionals and ones licensed both in Italy and in other jurisdictions, providing assistance in English, French, German and Spanish as well. It follows the founding of the German desk, which has been active since 2004 at the Rome office of the Firm and is led by Martin Hartl, former partner of the German firm Hengeler Mueller.
