Ughi e Nunziante announces the naming of Benedetto Colosimo as partner

Ughi e Nunziante has named Benedetto Colosimo partner of the Firm as part of a plan to strengthen the banking and finance practice with a focus on the fintech sector, in which Mr. Colosimo provides assistance to supervised entities including banks, payment institutions and crowdfunding operators.

He has been in Ughi e Nunziante since 2008 and Counsel since 2019, Benedetto Colosimo has many years of experience in extraordinary operations.

Mr. Colosimo is a member of various advisory committees of investment funds and provides assistance to international and national clients in the pharmaceutical and health sectors, where he has assisted pharmaceutical groups in the reorganization of their activities in the Italian market, as well as healthcare institutions in the construction of complex infrastructures.

SCF wins with Ughi e Nunziante against an important retail chain, marking an important achievement for the recording industry

Ughi e Nunziante, with partner Daniela De Pasquale, successfully assisted SCF in its claim against an important retail chain, seeking payment of fees owed according to SCF’s applicable rates for public performance of the music signal  through their in-store radio program.

SCF is the principal Italian collecting society for the collection of royalties attributed to record producers under Copyright Law.

The Court of Bologna found that the chain is obligated to pay the fees set out in SCF’s rates for communicating to the public the music signal in its network of company-owned and franchised stores throughout Italy, which is in addition to the fees paid by the music provider for the use of the songs for in-store radio (reproduction right).

The ruling represents a major achievement for the recording industry as it affirms, for the first time, that such fees also apply to franchising networks.

Ughi e Nunziante advises Morrow Sodali on the acquisition of Gryphon Advisors

Ughi e Nunziante, with partners Marco Misiti and Amon Airoldi and associate Marco Paolicelli, advised Morrow Sodali on its acquisition of Gryphon Advisors, a Canadian company specialized in proxy solicitation, corporate governance, and compensation consulting. Ughi e Nunziante was assisted by Canadian law firm Dale & Lessman, with Andrew Frei and Mandy Jassy.

Gryphon Advisors was sold by The John Family Trust, the family trust of Dexter John, which was advised by the law firm Stikemann Elliott.

Ughi e Nunziante advises Groupe Sirail on acquisition of IGM

Ughi e Nunziante assisted Groupe Sirail on its acquisition of IGM, an Italian company specialized in the advanced development of electromechanical and electronics systems for the railroad industry. The team was led by Giuseppe Coco, together with Counsel Benedetto Colosimo for the financing related aspects.

Groupe Sirail is a French group operating in 6 countries with over 1,000 employees and over 70 million euros of revenue. With the acquisition of IGM, the group extends the scope of its activities, in particular in Italy and Poland, and further develops its capabilities in electric and mechanical design in the rail transportation sector.

In addition, IGM has invested in Groupe Sirail, becoming a minority shareholder.

Ughi e Nunziante assisted Signature Flight Support UK in the acquisition of 100% of its italian business

Ughi e Nunziante assisted Signature Flight Support UK Regions, in the acquisition from SEA Prime, assisted by EY, of 40% of Signature Flight Support Italy. With the transaction, the buyer achieves 100% ownership of the Italian business of which they already own 60%.

Ughi e Nunziante team was led by partner Francesca Ricci.

Signature Flight Support is part of Signature Aviation plc, listed on the London Stock Exchange, which manages the largest network of general aviation terminals in the world. In Italy, the company offers services for general aviation with bases at Malpensa, Linate, Ciampino and Venice airports and support services at other airports including Naples, Bergamo, Palermo, Catania, Pisa and Florence.

Ughi e Nunziante assisted Standard Cognition in the acquisition of Checkout Technologies

Ughi and Nunziante, with a team coordinated by partner Giuseppe Coco and associate Dino Serafini, advised Standard Cognition (San Francisco) in the acquisition of Italian startup Checkout Technologies. Both companies are active in the development of advanced solutions for the simplification of payments in retail stores.

This deal marks the expansion into the European market for Standard Cognition, one of the first startups in the “cashless stores” sector, recognized by Fast Company magazine as “one of the 50 most innovative companies in the world”, and the first to open a cashless store in San Francisco.

The solutions developed by the two companies, of particular relevance in the post Covid-19 “new normal”, aim to definitively change the way shopping is done through the digitalization of supermarkets and the simplification of payments, introducing substantial benefits both in the management of stores and in the shopping experience for consumers.

Ughi e Nunziante launches its new Latin American Desk

Ughi e Nunziante gives life to the new Latin American Desk which will be led by Eduardo Lorenzetti Marques who joins the studio as Of Counsel.

With the new Desk, the firm develops its offer for cross-border transactions and disputes between Italy and Latin America, inbound and outbound, on the entire portfolio of the firms’s practices.

Italian-Brazilian, Eduardo holds an LLM from the London School of Economics and a PhD from the University of Sao Paulo. He served as a university professor for more than 15 years and is the author of various international publications. He founded its own firm, with offices in Brazil and Argentina, and for over 25 years has been assisting Latin American companies in their investments in Europe and international clients operating in Latin America, particularly in Brazil. Eduardo is licensed in Brazil, Portugal and Italy, and is President of the Foreign Investment Commission and of the Latin American Lawyers Forum of the UIA (Union Internationale des Avocats).

The Latin American Desk will also include Roberto Munhoz de Mello, also of Brazilian nationality, who enters as senior associate, mainly dealing with litigation.

Salvatore Orlando joins Ughi e Nunziante as partner

Salvatore Orlando joins Ughi and Nunziante as a partner, with him joins Stefano Bartoli, counsel. They will operate at the Rome office,  strengthening the firm’s litigation and arbitration practice.

Salvatore Orlando is specialized in commercial, financial, corporate and intellectual property litigation. He is a full professor of private law at Sapienza University of Rome. He is a member of ItechLaw, SECOLA and UPI. Salvatore is a contributor of the British magazine Computer Law & Security Report, and was a member of the Editorial Board of the magazine TMR of INTA.

Stefano Bartoli, after an experience at the United Nations, in New York, worked for 4 years at the Italian Patent and Trademark Office. He deals with litigation, company law, commercial agreements and intellectual property.

With their entry, the IP team of the firm, which already involve partner Agostino Clemente, is further strengthened and the total number of partners of Ughi and Nunziante rises to 23.
