Ughi e Nunziante advises Morrow Sodali on the acquisition of Gryphon Advisors

Ughi e Nunziante, with partners Marco Misiti and Amon Airoldi and associate Marco Paolicelli, advised Morrow Sodali on its acquisition of Gryphon Advisors, a Canadian company specialized in proxy solicitation, corporate governance, and compensation consulting. Ughi e Nunziante was assisted by Canadian law firm Dale & Lessman, with Andrew Frei and Mandy Jassy.

Gryphon Advisors was sold by The John Family Trust, the family trust of Dexter John, which was advised by the law firm Stikemann Elliott.

Ughi e Nunziante advises Groupe Sirail on acquisition of IGM

Ughi e Nunziante assisted Groupe Sirail on its acquisition of IGM, an Italian company specialized in the advanced development of electromechanical and electronics systems for the railroad industry. The team was led by Giuseppe Coco, together with Counsel Benedetto Colosimo for the financing related aspects.

Groupe Sirail is a French group operating in 6 countries with over 1,000 employees and over 70 million euros of revenue. With the acquisition of IGM, the group extends the scope of its activities, in particular in Italy and Poland, and further develops its capabilities in electric and mechanical design in the rail transportation sector.

In addition, IGM has invested in Groupe Sirail, becoming a minority shareholder.
